1. Introduction
1.1 Welcome to MissCallPay, a platform operated by Minkville Innoventures Pvt. Ltd. (“MissCallPay”, “we”, “our”, “us”), offering digital payment, UPI-over-Voice, merchant collection, and financial facilitation services across India through various products, including MissCallPay for Individuals, MissCallPay for Business, and MCP Point.
1.2 These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of our website (https://ind.misscallpay.com), mobile applications, IVR systems, and associated products or services (collectively referred to as the “Platform”).
1.3 By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
1.4 These Terms are to be read together with our Privacy Policy, Product-Specific Terms, Refund & Cancellation Policy, and Grievance Redressal Policy, all of which collectively form part of this legal Agreement between you and the Company.
1.5 In the event of any conflict between these Terms and any specific product-level agreement (such as for MCP Point), the latter shall prevail to the extent of such conflict.
2. Definitions
For the purpose of these Terms:

“Account” means the user profile registered with MissCallPay through which services are accessed.

“Bank Mitra / BC” refers to an authorized Business Correspondent or agent using MCP Point.
-
“Merchant” refers to a registered business user or entity using MissCallPay for Business.
-
“Customer” refers to an individual using MissCallPay services for personal or commercial payments.
-
“NPCI” means National Payments Corporation of India, the operator of UPI and related networks.
-
“RBI” refers to the Reserve Bank of India, the regulatory authority for banking and payments.
-
“UPI Over Voice” / “UPI123Pay” means NPCI-enabled mechanisms allowing transactions via phone calls without internet access.
-
“KYC” refers to Know Your Customer verification as per RBI Master Directions.
-
“Services” refers to all features, APIs, tools, applications, and payment processing functionalities provided by MissCallPay.
3. Eligibility
3.1 Use of MissCallPay is restricted to individuals who:

Are Indian residents aged 18 years or above;
-
Possess a valid Indian mobile number and bank account;
-
Are competent to contract under Section 11 of the Indian Contract Act, 1872.
3.2 Entities (partnerships, LLPs, companies, or NGOs) must authorize a natural person to act on their behalf for registration and compliance.
4. Scope of Services
4.1 For Individuals:
MissCallPay enables smartphone-free UPI transactions via voice calls, fund transfers using DID/TID, and payment acceptance from any UPI application.
4.2 For Merchants and Businesses:
The platform provides merchant payment collection, instant payment alerts, digital khata, recurring billing, and payment gateway integration features.
4.3 For BCs (MCP Point):
MCP Point facilitates assisted UPI fund transfers for end customers without smartphones or internet, in compliance with RBI’s Business Correspondent guidelines.
4.4 For All Users:
Services are provided through MissCallPay’s website, mobile applications, or IVR lines, as approved by NPCI and integrated partner banks.
5. Registration and Account Responsibilities
5.1 You must register by providing true, accurate, and complete information, including name, contact number, email, and verification documents.
5.2 MissCallPay may verify your information through partner banks or KYC service providers.
5.3 You are responsible for maintaining the confidentiality of your credentials, one-time passwords (OTPs), and any secure access details shared during use.
5.4 Any activity conducted through your account shall be deemed to have been performed by you or with your authorization.
5.5 MissCallPay reserves the right to suspend or terminate your account if false, incomplete, or misleading information is provided, or in case of suspected misuse.
6. Service Usage and Conduct
You agree not to:

Use the Service for any unlawful, fraudulent, or unauthorized purpose;

Violate RBI, NPCI, or government restrictions on UPI transactions;

Use MissCallPay to launder money, evade taxes, or support prohibited activities;

Attempt to reverse-engineer, modify, or disrupt the platform;
-
Create fake accounts or impersonate others;
-
Transmit viruses or attempt unauthorized access to MissCallPay systems.
Any breach of this clause may lead to immediate suspension, account termination, or legal prosecution under applicable Indian laws.
7. Digital Payments and Authorization
7.1 When you initiate a transaction through MissCallPay, you authorize the Company and its banking partners to process payments on your behalf through NPCI-approved UPI systems.
7.2 For UPI Over Voice transactions, pressing keypad inputs or confirming via IVR constitutes a legally valid authorization under the Payment and Settlement Systems Act, 2007.
7.3 You are solely responsible for verifying transaction details before confirming payment.
7.4 MissCallPay is not responsible for incorrect beneficiary information, mistyped UPI IDs, or transactions initiated by error.
8. Fees and Charges
8.1 MissCallPay reserves the right to levy a convenience fee, CPC, or transaction charge on specific services.
8.2 Such fees shall be communicated transparently before each transaction or as part of the product pricing schedule.
8.3 All fees are inclusive of applicable taxes under the Goods and Services Tax Act, 2017 (GST).
8.4 Fees once paid are non-refundable except in cases of duplicate or failed transactions due to system error.
9. Content, Comments, and User-Generated Material
9.1 Users may post comments or testimonials on our platform, provided they comply with the following:

Must not contain defamatory, obscene, threatening, or infringing content;

Must not promote discrimination, hatred, or unlawful activity;
-
Must not violate third-party intellectual property rights.
9.2 MissCallPay reserves the right to remove or edit content at its discretion.
9.3 By posting content, you grant the Company a non-exclusive, royalty-free license to use, reproduce, and display such content across its digital platforms.
10. Intellectual Property Rights
10.1 All materials, trademarks, service marks, logos, and content on MissCallPay are owned by Minkville Innoventures Pvt. Ltd. or its licensors.
10.2 Unauthorized reproduction, modification, or commercial exploitation of any intellectual property is prohibited.
10.3 You may access the content only for personal, lawful use and may not copy, redistribute, or republish it without written permission.
11. Data Privacy and Protection
11.1 All personal and transactional data is handled in accordance with the MissCallPay Privacy Policy, the Digital Personal Data Protection Act, 2023, and RBI/NPCI mandates.
11.2 Data is stored only in India and protected using industry-standard encryption.
11.3 By using MissCallPay, you consent to such data collection, processing, and storage as described in our Privacy Policy.
12. Limitation of Liability
12.1 To the fullest extent permitted by law, MissCallPay shall not be liable for:

Any indirect, consequential, or punitive damages;

Loss arising due to user negligence, technical failure, or unauthorized access;
-
Transactions incorrectly executed due to incorrect input by the user.
12.2 MissCallPay’s total aggregate liability in any claim shall not exceed the transaction amount involved.
12.3 Nothing herein limits liability for gross negligence, fraud, or willful misconduct.
13. Disclaimers
13.1 The Services are provided on an “as-is” and “as-available” basis.
13.2 MissCallPay makes no warranty that:

The platform will be uninterrupted or error-free;
-
Any defects will be corrected immediately;
-
The information provided is accurate, complete, or up-to-date.
13.3 We are not liable for delays caused by third-party systems, telecom outages, or banking infrastructure downtime.
14. Hyperlinking and External Websites
14.1 MissCallPay may provide links to third-party websites for convenience. These links do not signify endorsement or association.
14.2 MissCallPay is not responsible for the content, privacy, or practices of third-party sites.
14.3 Linking to MissCallPay requires prior written approval unless explicitly permitted under “fair use” categories such as government agencies, search engines, or news portals.
15. Suspension and Termination
15.1 MissCallPay may suspend or terminate your access immediately, without notice, if:

You violate these Terms;
-
You misuse the platform or engage in fraudulent activity;
-
Required by law enforcement or regulatory directive.
15.2 Upon termination, all rights granted to you under these Terms shall immediately cease.
16. Indemnity
You agree to indemnify and hold harmless MissCallPay, its directors, officers, employees, and affiliates from any loss, liability, or expense arising from:

Your breach of these Terms;

Misuse of the platform; or
-
Violation of applicable laws or rights of a third party.
17. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra.
18. Force Majeure
MissCallPay shall not be liable for failure to perform obligations due to causes beyond its control, including natural disasters, cyberattacks, strikes, war, or governmental restrictions.

Complaints will be acknowledged within 7 working days and resolved within 30 days.
20. Amendments
MissCallPay may modify these Terms at any time. Updated versions will be published on the website with the “Last Updated” date revised. Continued use of the platform constitutes acceptance of the updated Terms.
